These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User", "you", "your") and Curobase, operating as Curobase ("Company", "we", "us", or "our"), concerning your access to and use of the https://uat.curobase.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Platform" or "Service").

By registering for, accessing, or utilizing our Platform, you acknowledge that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.

1. Description of Services & Platform Nature

1.1 B2B Software-as-a-Service (SaaS): Curobase provides a digital suite of business management tools, including calendar scheduling, slot management, and automated notification integrations (SMS and WhatsApp) specifically designed for professional administrative use.

1.2 Not a Healthcare Provider (Meta Commerce Policy Compliance): We explicitly state that Curobase is a technology company and a software provider. We do not provide medical services, medical advice, clinical diagnoses, or therapeutic treatments. Furthermore, we are not a pharmacy, nor do we facilitate, endorse, or manage the sale, distribution, or advertising of prescription drugs, over-the-counter medications, medical devices, or any regulated healthcare products. Our software simply facilitates administrative scheduling processes between professional service providers and their clients.

2. Third-Party Integrations & WhatsApp Messaging Compliance

Our platform integrates with third-party messaging services, including the Meta WhatsApp Business API, to facilitate automated appointment reminders. Your use of these features is subject strictly to the following conditions:

2.1 Explicit Opt-In Requirement: As the business utilizing Curobase, you bear the sole and absolute legal responsibility to obtain explicit, documented, and legally valid opt-in consent from your clients/patients prior to triggering any automated WhatsApp or SMS messages through our Platform. You must ensure your clients agree to receive notifications on their designated phone numbers.

2.2 Anti-Spam and Acceptable Use: You agree not to use the Platform to send unsolicited marketing messages, spam, or any content that violates Meta's WhatsApp Business Policy or local telecommunications regulations. Curobase acts purely as a data processor transmitting your authorized messages. We reserve the right to immediately suspend your account if we detect abusive messaging practices that jeopardize our API integrations.

3. User Accounts and Security

3.1 Account Creation: To use the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. The Company cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4. Subscription Billing, Payments, and Refunds

4.1 Fees: Certain aspects of the Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, you agree to the pricing and payment terms communicated to you at the time of purchase.

4.2 Refund Policy: Curobase operates on a subscription basis. Unless otherwise explicitly mandated by applicable law, all fees paid for the Curobase service are non-refundable. We do not offer prorated refunds for partial-month usage or unused time if you choose to terminate your subscription before the end of your current billing cycle.

5. Cancellation and Termination

5.1 User Cancellation: You may cancel your subscription to the Platform at any time via your account dashboard or by submitting a written request to connect@curobase.com. Cancellations will take effect at the conclusion of your currently paid billing term, and your access will remain active until that date.

5.2 Company Termination: We reserve the right, in our sole discretion, to terminate or suspend your access to all or part of the Platform, with or without notice and for any reason, including, without limitation, breach of these Terms of Service or violation of Meta's Business Policies.

6. Intellectual Property Rights

Unless otherwise indicated, the Platform is our proprietary property, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

7. Limitation of Liability and Disclaimers

The Platform is provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, in connection with the Platform and your use thereof. To the fullest extent permitted by law, Curobase and its officers, directors, employees, and agents will not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Platform.

8. Governing Law and Jurisdiction

These Terms of Service and your use of the Platform are governed by and construed in accordance with the laws of India. Any legal action or proceeding related to your access to, or use of, the Platform shall be instituted in the courts situated in Maharashtra, India. You and Curobase agree to submit to the jurisdiction of, and agree that venue is proper in, these courts.
